1. Our agreement with you
Revometrics is operated by Altaveron LLC, a company registered in the Republic of Armenia and based in Yerevan ("we," "us," or "our"). Revometrics is our product and brand.
These Terms govern your access to our websites, applications, workspaces, AI tools, and related features (the "Service"). By accepting these Terms when creating an account or otherwise entering into an agreement to use the Service, you agree to them. If you do not agree, do not create an account or use the Service.
"You" and "Customer" mean the individual or legal entity entering into this agreement. If you accept for an organization, you represent that you are authorized to bind it. Your consumer rights, where applicable, depend on the purpose of your use and applicable law, not the name of your plan.
Our Refund and Cancellation Policy forms part of these Terms. Our Privacy Policy explains how we handle personal information; it does not replace any legally required consent or data-processing agreement. If we sign a separate agreement with you, that agreement controls on matters it expressly changes. A data-processing agreement controls conflicts about processing covered personal data. The applicable plan or order defines the features, quantities, price, and billing period you purchase. These Terms govern other matters.
Paddle's purchase terms govern transactions with Paddle as explained in section 4. Nothing in these Terms removes rights or obligations that applicable law does not allow the parties to exclude or limit.
2. Eligibility and account security
You must be at least 18 years old and legally able to enter into this agreement. Provide accurate account and billing information and keep it current. Each person must use their own account; inviting authorized members to a workspace does not permit sharing login credentials.
You are responsible for protecting your credentials, using available security settings appropriately, and the instructions and activities of people you authorize to use your account or workspace. Notify us promptly at [email protected] if you suspect unauthorized access. Do not allow a person whose access we have lawfully suspended to evade that suspension through your account.
You may not use the Service if you are located, organized, or ordinarily resident in a country or territory subject to comprehensive sanctions, or if you, anyone who owns or controls you, or anyone on whose behalf you act is identified on, or owned or controlled by a person identified on, a sanctions or restricted-party list maintained by the United Nations, the Republic of Armenia, the United States, the European Union, or the United Kingdom. You must not use, export, re-export, or transfer the Service or Outputs in breach of applicable sanctions or export-control laws, including for a prohibited end use or end user. We may refuse, restrict, or end access where reasonably necessary to comply with those laws or with conditions our service providers must apply. Any refund owed in that case is paid only where and to the extent the law permits.
We may take reasonable steps to verify identity, authority, or account security before granting access, changing ownership, or handling a request.
3. Workspaces, members, and billing accounts
You can use a workspace on your own or with other members. Its owner and authorized administrators manage membership and permissions, and your access to workspace content can change or end if your role changes or you are removed. Administrative control of a workspace does not transfer intellectual-property rights in another person's content.
You are responsible for the people you invite, the access you assign, and any notices or permissions needed for the content you share in a workspace.
Each member who needs paid AI usage, including the owner, needs their own plan in that workspace. Payment is handled through a billing account, which is separate from workspace ownership: changing a workspace owner does not change who pays, and billing access does not give access to workspace content. You must be authorized to use any billing account and payment method you add. Keep access to the billing email secure, because control of a billing account can be recovered through it.
Removing a member ends their access immediately and removes their plan from future renewals. It does not create a refund for the current paid period. How workspaces, plans, and billing accounts work in practice is explained in Billing and workspaces.
4. Purchases, renewals, and plan changes
Paddle is our authorized reseller and merchant of record for purchases completed through Paddle. You buy from the Paddle entity identified at checkout or in your receipt, and we supply the Revometrics service. Paddle handles the transaction, payment collection, applicable transaction taxes, and purchase-related invoicing. Its Buyer Terms and Refund Policy apply to that purchase. Those documents govern your transaction with Paddle; these Terms govern your use of Revometrics.
The price, currency, applicable taxes, renewal interval, and paid features are shown before purchase. Subscriptions renew automatically at the disclosed interval until cancelled. By completing checkout, you authorize the recurring charges described there. We do not promise an annual plan, a trial, or a particular feature unless it is included in the offer you accept.
Upgrades and added plans may take effect immediately with prorated charges; downgrades and plan removals take effect at renewal. The billing flow shows the price and effective date before you confirm.
We will give at least 30 days' notice before increasing your recurring subscription price. An increase takes effect no earlier than a renewal after that notice period, with further notice or consent where required by law. You may cancel before it takes effect. We will not retrospectively increase charges for a period already purchased.
If a payment fails, Paddle may retry it and we may restrict paid usage while the payment remains unresolved. You remain responsible for valid outstanding charges. We may correct a pricing error before accepting an order; if an accepted order cannot be honored, we will explain the issue and provide the cancellation or refund required by the purchase terms and applicable law.
5. Credits and usage limits
Credits measure access to designated Service features. They are usage entitlements, not money, deposits, or an investment. They cannot be redeemed for cash or traded between customers, except for refunds expressly required by law or promised in this agreement.
Credits belong to a specific user in a specific workspace and cannot be used by other users or in other workspaces. Usage depends on the feature, model, and task. Credits may be used by processing that gives an unsatisfactory result or cannot finish after it has started; this does not remove remedies for defects, erroneous charges, or non-delivery.
Plan credits reset at the interval shown for your plan and do not roll over. Purchased top-up credits do not expire when a billing period ends and stay with the same user and workspace after cancellation, although using them may require a new plan.
A refund or payment reversal may remove the corresponding entitlement or credits. We may correct erroneous grants and restrict fraud or abuse, while respecting lawful payment-dispute rights. Deleting your account may make remaining credits unusable. Our commitments if we close the paid Service appear in section 14.
6. Cancellation and refunds
You can cancel a subscription, or remove an individual member's plan, at any time in the billing settings; Billing and workspaces explains how. Cancellation stops future renewals, and paid access continues until the end of the current paid period. Cancelling one plan or workspace does not affect others. If you cannot cancel in the product, contact [email protected] or Paddle support. Your cancellation rights under Paddle's transaction terms and applicable law remain available.
You can request a refund within 14 days of purchase through Paddle, which reviews requests under its Refund Policy. We do not offer an additional money-back guarantee beyond that. Outside that window, payments are non-refundable except where applicable law requires a refund, Paddle decides to issue one under its transaction terms, we expressly agree to provide one, or our closure commitments in section 14 apply. Cancelling because you no longer need the Service does not itself create a right to a partial-period refund.
Consumer withdrawal rights and remedies for faulty, misdescribed, or undelivered services remain available where applicable. Starting to use the Service does not, by itself, waive them. Any lawful request for early performance or waiver must satisfy the applicable requirements and be collected separately where required.
Deleting your account cancels your personal subscription immediately; remaining credits and the rest of the current billing period end with the account. You cannot delete your account while you own an organization or a billing account that still pays for workspaces. Leaving a workspace does not cancel any subscription. See the Refund and Cancellation Policy for refund requests.
7. Your content and responsibilities
"Customer Content" includes files, prompts, messages, data, credentials submitted through designated connection tools, and other material you or your authorized users upload, submit, or connect to the Service. "Outputs" are responses, analyses, images, code, presentations, and other results generated for you through the Service.
You retain your rights in Customer Content. You are responsible for deciding what to submit and for having the rights, notices, permissions, and lawful grounds necessary for us and our providers to process it as instructed. This includes information about employees, customers, contacts, and other individuals, and material protected by copyright, confidentiality, or other rights. Upload only what is reasonably needed for your intended task.
You must not submit unlawful or infringing material, disclose information in breach of a duty of confidence, or instruct the Service to act without authority. You remain responsible for your use, distribution, and publication of Customer Content and Outputs.
The Service is not offered for processing that requires specialized regulatory agreements, certifications, or safeguards we have not expressly agreed in writing to provide. Before using it for such a purpose, you must identify the requirements and obtain our written agreement to a supported arrangement. Your choice to upload information does not establish that such an arrangement exists.
You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, transmit, format, process, and display Customer Content and Outputs only as necessary to provide, support, secure, and maintain the Service, follow your instructions, and meet legal obligations. We may authorize providers to do so for those purposes under appropriate restrictions. This licence permits your requested sharing and publication; it does not authorize selling your private content, using it in unrelated advertising, or training models on it.
The licence ends when the relevant content is deleted from our systems, except for the limited continued handling of backups, legally retained records, or other copies permitted by our Privacy Policy or a data-processing agreement. It does not transfer ownership of your material to us.
8. AI processing and model training
AI features process your instructions and relevant context to generate results. Depending on the feature, this can involve transmitting prompts, selected content, conversation context, extracted data, or derived queries to AI, search, and other service providers. The Privacy Policy explains the relevant processing and recipients.
We select and may change the models, providers, and technical methods used to deliver the Service, taking into account factors such as suitability for the task, quality, security, reliability, performance, availability, and cost. Unless expressly included in your plan, order, or a separate agreement with us, access to the Service does not include a commitment to use any particular model, model version, or provider. These choices remain subject to our commitments in these Terms, the Privacy Policy, any applicable data-processing agreement, and the service-change provisions in section 13.
We do not use your private Customer Content, prompts, connected data, or Outputs to train or fine-tune AI models. The AI model providers we use for these features may not use that content to train or improve their models under the terms that apply to our use. Search providers receive the queries needed to retrieve results, which can be derived from your content, and may retain and use those queries under their own terms. Our rule also applies when private content is included in a support request, a reported problem, or product feedback. Ordinary processing to answer a request, investigate a security issue, or troubleshoot the Service does not grant permission for model training.
AI can generate inaccurate, incomplete, misleading, offensive, or unsuitable results. Outputs may resemble results produced for others and are not guaranteed to be original, exclusive, copyrightable, or free of third-party rights. Review and validate them before use, publication, or reliance. Obtain qualified advice where appropriate; the Service does not act as your legal, medical, financial, or other professional adviser.
Do not use Outputs as the sole basis for decisions with legal or similarly significant effects on individuals, such as decisions about employment, credit, insurance, housing, education, healthcare, legal status, or access to essential services, without meaningful review by a qualified person. The Service is not designed or offered for medical diagnosis or treatment, emergency services, operation of critical infrastructure, or other uses in which an error could foreseeably cause death, personal injury, or serious physical or environmental damage. If you present Outputs to others, you are responsible for any disclosure the law requires that content was generated or altered by AI.
Generated code, queries, scripts, and automation can change systems or data, disclose information, or create external costs. You must have authority for the actions you request and evaluate their suitability, permissions, and consequences. Use available review and access controls before enabling actions or publishing executable content. We do not represent that every action waits for a separate confirmation.
9. Rights to Outputs and third-party materials
As between you and us, you retain your rights in your inputs and own any rights that legally arise in Outputs generated for you, excluding Service Materials and third-party material. To the extent we acquire transferable rights in those Outputs, we assign them to you, subject to those exclusions and applicable law. We cannot grant rights that do not exist or belong to someone else.
You may use your Outputs for personal, commercial, and client work on both free and paid plans. Those rights continue after cancellation or termination. Continued access to hosted content or paid features is a separate matter. Your rights do not extend to another customer's content or similar results independently generated for others.
Images, logos, fonts, quotations, code libraries, templates, and other third-party materials can carry separate licence, attribution, publicity, trademark, or other restrictions. Finding material through search or receiving it in an Output does not establish permission to use it. Follow applicable restrictions and obtain additional permissions where your intended use requires them.
Where we supply templates or components that we own for inclusion in Outputs, we grant you a continuing, non-exclusive licence to use them as incorporated into those Outputs for the permitted purposes above. This does not authorize extracting or reselling our platform, template collection, or components as a competing standalone library. Separate third-party asset licences continue to apply.
10. Our intellectual property and feedback
We and our licensors retain all rights in the Service, software, interfaces, documentation, branding, underlying technology, and materials we supply, excluding your Customer Content and the Output rights granted above ("Service Materials"). Your subscription provides access rights and does not transfer ownership of the platform.
We grant you a limited, non-exclusive right to access and use the Service under these Terms and your plan. You must not copy, resell, sublicense, reverse engineer, or circumvent protection of the Service except where expressly authorized or allowed by non-waivable law. Creating and delivering permitted client Outputs does not itself constitute resale of the Service. Use of our trademarks requires our permission except where law permits it.
If you voluntarily give us product suggestions or ideas, you grant us permission to use and implement that feedback without payment or attribution. This permission does not include private workspace content, confidential attachments, or third-party confidential information and does not override the no-training rule.
11. Acceptable use and complaints
You must not use the Service to:
- Infringe intellectual-property, privacy, confidentiality, publicity, or other rights; commit fraud; unlawfully impersonate others; or distribute unlawful, threatening, exploitative, or abusive material.
- Introduce malware, steal credentials, access systems or data without authorization, interfere with security, or bypass billing, usage, or access restrictions.
- Carry out unauthorized scraping, bulk extraction, model extraction, or systematic harvesting of outputs to reproduce or build a competing model or service.
- Send unlawful spam, conduct unlawful surveillance or profiling, create or distribute sexual content involving minors or otherwise facilitate exploitation of children, or promote violence, self-harm, or other unlawful harm.
- Develop, produce, or acquire biological, chemical, nuclear, radiological, or other weapons capable of mass casualties, or plan or carry out attacks on critical infrastructure.
- Create deceptive content that impersonates a real person or misrepresents its origin, including sexual or intimate imagery of a real person without their consent, or content intended to mislead voters or interfere with elections.
- Use biometric data to identify individuals, or infer individuals' sensitive characteristics, such as health, ethnicity, religion, political opinions, or sexual orientation, unless that use is lawful and we have expressly agreed to support it.
- Use access you obtain through the Service in breach of applicable law or knowingly direct providers to perform prohibited or unauthorized actions.
Some features are delivered using third-party AI, search, and image services whose providers impose usage restrictions on us. This list is intended to reflect them. Where a provider's restriction for a feature is stricter, we may apply it to that feature and will identify the restriction on request.
We may investigate credible complaints, request supporting information, and restrict or remove content or access where reasonably necessary to address misuse, rights violations, or legal requirements. We do not undertake to examine every upload or verify all content before processing it. We will follow any applicable notice, challenge, appeal, or restoration requirements.
To report alleged copyright infringement or other misuse, contact [email protected] with your contact details, the material's location, the rights or rule involved, and supporting information. A rights holder or authorized representative should identify the protected work and explain the basis of the complaint. We may seek further information and, where appropriate, share relevant complaint details with the affected user.
12. Confidentiality, sharing, and integrations
We keep non-public Customer Content confidential and limit access to personnel and providers who need it to run the Service and are bound by confidentiality duties. This does not cover information that is or becomes public through no fault of ours, that we already had or lawfully received without a duty of confidence, or that we develop independently.
We may disclose information when the law or a binding legal process requires it. Where we lawfully can, we will tell you first and disclose only what is required.
You control what you share and publish. Public links can be forwarded, indexed, or copied, and removing a link does not erase copies others already have. Integrations you connect are governed by their own terms, you must be authorized to connect them, and their features can change.
13. Availability, changes, and experimental features
Features and models change as the Service develops. We will give reasonable advance notice of changes that materially reduce paid functionality, and section 14 applies if we end a paid service without your fault.
Free, trial, and experimental features may have limits or errors and may change or end at any time. Promotional offers follow the conditions shown when offered.
Maintenance, provider failures, and outages may interrupt the Service. Unless agreed in writing, we do not offer a service-level agreement, guaranteed uptime, or guaranteed support response times. We are not responsible for failures caused by events beyond our reasonable control, but we will take reasonable steps to limit their effects.
14. Suspension, termination, and export
We may suspend or limit access where reasonably necessary for non-payment, material breach, fraud, unlawful activity, credible security threats, or binding legal requirements. We will give notice and an opportunity to correct a remediable issue where appropriate. Immediate action may be necessary where delay creates material risk or notice is prohibited.
If we ordinarily terminate your paid Service or discontinue it for business reasons without your fault, we will give at least 30 days' notice, provide an opportunity during that period to export your content using available export functions or a reasonable assisted process, and refund unused prepaid service and unused purchased credits. The prepaid-service refund will reflect the remaining paid period. Purchased-credit refunds will reflect the unused portion of the amount actually paid for those credits; free, promotional, and subscription allocations have no separate cash refund value.
If law or an urgent security issue prevents the normal notice or export process, we will explain the restriction where permitted and provide a lawful export opportunity when feasible. We will not use that restriction to avoid refunds otherwise owed.
If access ends because of your material breach, fees already earned remain due and refunds are governed by applicable law and the Refund and Cancellation Policy. Suspension does not automatically confiscate every prepaid amount or credit. Any enforcement response will be proportionate to the reason for it.
You may stop using the Service and cancel under section 6. Export content you need before permanent closure. We may close a free account that has not been signed in to for 24 months, after telling you by email at least 30 days in advance. Retention, backups, and legally retained records are governed by the Privacy Policy and any applicable data-processing agreement. Contract provisions that by their nature should continue, including accrued payments, Output rights, confidentiality, intellectual property, liability limits, and dispute provisions, survive termination to that extent.
15. Disclaimers and express commitments
Except for express commitments in this agreement or a separate signed agreement, and to the extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. We exclude implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement to that extent.
We do not guarantee uninterrupted or error-free operation, compatibility with every system, the accuracy or completeness of every Output, exclusivity or copyright protection for generated material, or a particular commercial result. Customer decisions and external actions based on Outputs require independent review appropriate to their risks.
These disclaimers do not override our express commitments, binding descriptions of the paid Service, confidentiality or data-protection obligations, or warranties and remedies that cannot lawfully be excluded. They do not excuse failure to supply a purchased service.
16. Liability
If you use the Service for trade, business, professional, or organizational purposes, the following exclusions and cap apply, subject to the exceptions below.
To the extent permitted by law, we are not liable to you for indirect, incidental, special, exemplary, or consequential losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, or data arising from use of or inability to use the Service, whether the claim is in contract, tort, or otherwise, even if advised that such loss is possible.
Our total aggregate liability to you arising out of or relating to these Terms or the Service will not exceed the greater of (a) USD 100 and (b) the fees actually paid by you or on your behalf for the relevant Revometrics service during the three months immediately preceding the first event giving rise to the claims. Fees include purchases through Paddle attributable to your use and exclude taxes and amounts already refunded. This is one aggregate cap for you across claims, legal theories, your authorized users, and your affected workspaces, not a separate amount for each.
The cap and exclusions above do not apply if you qualify as a consumer under applicable law. In that case, our responsibility for breach, failure to exercise legally required care, defective services, and other loss is governed by applicable consumer law. You retain all mandatory remedies, including any rights that apply in your country of residence. We do not assume responsibility for loss that applicable law does not require us to bear.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, or any liability that applicable law prohibits excluding or limiting. These limitations do not reduce refunds or repayment of unused prepaid service or purchased credits that we expressly owe under these Terms. They do not restrict a regulator's powers or non-waivable rights of a person whose data we process.
17. Third-party claims
If you use the Service for trade, business, professional, or organizational purposes, you will defend us and our personnel against third-party claims to the extent caused by your unlawful Customer Content, infringement of third-party rights by your submitted materials or unauthorized use, or material breach of these Terms, and reimburse reasonable defense costs, final damages, and approved settlements arising from those claims.
This obligation does not apply to the extent a claim results from our own breach, negligence, or unlawful conduct, or from a use or modification of your content outside your authorization that caused the claim. It is not triggered solely because an Output supplied by the Service infringes a right without your infringing input, misuse, or other covered conduct.
We will promptly notify you of a claim, provide reasonable cooperation at your expense, and allow you to control its defense with competent counsel. A delay in notice reduces your obligation only to the extent it materially prejudices the defense. You may not settle a claim in a way that admits fault by us, imposes a non-monetary obligation on us, or fails to release the protected parties without our consent, which will not be unreasonably withheld. We may participate at our own expense.
This contractual indemnity does not apply if you qualify as a consumer under applicable law. Rights and responsibilities that arise independently under applicable law remain unaffected.
18. Governing law and disputes
These Terms are governed by the laws of the Republic of Armenia, subject to mandatory rules that apply regardless of a contractual choice of law. Please contact [email protected] with the details of a dispute so that we can attempt to resolve it in good faith. We aim to allow 30 days for that process; this does not prevent urgent relief, suspend statutory deadlines, or restrict a legally protected complaint.
If you use the Service for trade, business, professional, or organizational purposes, disputes are subject to the competent courts of the Republic of Armenia unless a separately signed agreement provides otherwise. If you qualify as a consumer under applicable law, you retain any mandatory right to bring a claim in another competent court and the protection of non-waivable laws applicable to you. These Terms do not impose mandatory arbitration or a class-action waiver.
19. Changes, notices, and general terms
We may update these Terms. We will give at least 30 days' notice of a material adverse change by email or in the product, unless a legal or security reason requires less, and the notice will state the effective date. If you do not agree, you can cancel before the change takes effect. Changes do not apply retroactively to accrued claims or periods already paid for.
We send notices electronically to your registered email or in the Service; keep your contact details current.
You may not transfer this agreement without our consent. We may transfer it as part of a reorganization or sale of the business if the successor takes on our obligations.
If any provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. These Terms and the documents they incorporate are the entire agreement on their subject, subject to the order of priority in section 1, and do not create a partnership, agency, or employment relationship.
